MAITHAN ALLOYS : NCLT APPROVES MERGER OF WHOLLY-OWNED SUBSIDIARY ✅
• ⚖️ Hon'ble NCLT Kolkata Bench has approved the amalgamation of Impex Metal & Ferro Alloys Ltd with Maithan Alloys Ltd • 🏢 Impex Metal & Ferro Alloys is a wholly-owned subsidiary of Maithan Alloys • 📅 NCLT sanctioned the scheme on 8 June 2026 with an appointed date of 31 March 2024 • 🔄 No new shares will be issued as the transferor company is fully owned by Maithan Alloys • 👥 No change in promoter shareholding; promoters will continue to hold the same percentage pre and post merger • 📋 Scheme will become effective upon filing the certified NCLT order with the Registrar of Companies 🟢 Impact: Positive (Simplifies corporate structure, improves operational efficiency and enables better resource utilization without any equity dilution.)
