SAMMAAN CAPITAL : NCLT ALLOWS FIRST MOTION APPLICATION FOR SCHEME OF ARRANGEMENT

• National Company Law Tribunal (NCLT), New Delhi Bench, allowed the first motion application in relation to the proposed scheme of arrangement between Sammaan Capital Limited and Sammaan Finserve Limited. • The NCLT order dispensed with the meeting of equity shareholders of the Demerged Company and secured/unsecured creditors of both companies. • A meeting of the equity shareholders of the Resulting Company will be convened through video conferencing for scheme approval. • A certified copy of the NCLT order is awaited. • The company plans to file an application with the NCLT seeking clarifications/modifications to the order.
