CRIZAC LIMITED : ACQUIRES STAKE IN EDUMENT CONSULTANCY PVT LTD

• Crizac Limited has entered into definitive agreements to invest approximately ₹1.24 Cr in Edument Consultancy Private Limited. • The investment will be made by acquiring Compulsory Convertible Preference Shares (“CCPS”) and Compulsorily Convertible Debentures (“CCD”) from existing investors. • The total investment amount is approximately ₹1,24,76,944/-, comprising ₹65,39,439/- for CCPS and ₹59,37,505/- for CCDs. • Crizac Limited will acquire 5,444 CCPS and 2,250 CCDs, representing 37.41% of the fully diluted share capital of Edument Consultancy Private Limited upon conversion. • Edument Consultancy is an EdTech company operating an AI-powered B2B platform for overseas education services. • The acquisition is a strategic investment to bring complementary offerings to Crizac Limited's existing customers. • Indicative time period for completion of the acquisition is August 12, 2026.
