• Buyback proposal of up to 64,00,000 equity shares at ₹1,125 per share. • Aggregate buyback amount not exceeding ₹720 Cr. • The buyback represents 5.76% of the company's existing paid-up equity share capital. • Buyback is proposed to be funded by surplus cash and not by borrowed funds. • The buyback will be implemented through the tender offer route. • Shareholders other than promoters and promoter group are eligible. • Board has confirmed solvency and ability to meet liabilities. • The proposal is subject to shareholder approval via postal ballot. • This is for information and records.
