• SMR Automotive (Langfang) Co., Ltd., an indirect subsidiary, to acquire 64.76% equity in Shenzhen Autocruis Technology Co., Ltd. (Target) • Initial acquisition for CNY 153.3 million (approx. USD 22.6 million) via primary capital increase • Target to undertake buy-back post-acquisition; SMR Langfang to hold 67.78% equity • Target's business: automotive vision and camera-based systems (CMS, FDM, DMS, DVR) • Target turnover FY 2025 was CNY 46 million (approx. USD 6.8 million) • Transaction subject to customary regulatory filings and approvals in China • Expected completion by Q3 FY 2027
