AMBER ENTERPRISES INDIA LIMITED : ACQUIRES NEAR-COMPLETE OWNERSHIP IN ASCENT CIRCUITS PRIVATE LIMITED FOR RS 336.75 CRORE

• Share Purchase Agreements (SPAs) executed on 18th June 2026 with IL JIN Electronics (India) Private Limited, Ascent Circuits Private Limited, Mr. Manjunath Punyamurthy and other shareholders. • IL JIN, a material subsidiary of Amber, will acquire an additional 38.50% equity stake in Ascent Circuits Private Limited, a subsidiary of IL JIN. • This acquisition will increase IL JIN's shareholding in Ascent from 60% to 98.50%, leading to near-complete ownership and effective control. • The total consideration for the 38.50% stake is Rs. 336.75 Crore. • The transaction qualifies as a related party transaction and has been undertaken at an arm's length. • Acquisition of the 37.50% equity stake is expected to be completed on or before 19th June 2026.
