• 7,93,332 equity shares of Bengal & Assam Company Limited transferred inter-se through Off-Market Trade without any consideration. • Transfer is consequent to the dissolution of Shripati Singhania HUF. • Shares transferred from Anshuman Singhania (Karta of Shripati Singhania HUF) to Members/Co-Parceners: Vinita Singhania (2,64,444 shares), Anshuman Singhania (2,64,444 shares), and Shrivats Singhania (2,64,444 shares). • All transferees are constituents of the Promoter Group of the Target Company. • Transaction represents 6.96% of the total equity share capital. • The total holding of the Acquirers post-transfer is 10,16,698 shares (8.92% stake).
