• Suraj Industries confirmed allotment of 1,05,04,201 equity shares of CARYA Chemicals & Fertilizers Private Limited. • Acquisition by way of conversion of outstanding unsecured loan aggregating upto ₹25 Cr. • Transaction value approximately ₹24.99 Cr at an issue price of ₹23.80 per equity share. • Post-acquisition, Suraj Industries' shareholding in CARYA increased to 96.06% from 95.44%. • CARYA's turnover for the period ended March 31, 2026 was ₹87.11 Cr. • The acquisition is a related party transaction and is at arm's length. Impact: Strengthens control over material subsidiary and holding structure.
