ENDURANCE TECHNOLOGIES : SELLS ITALIAN WHOLLY-OWNED SUBSIDIARY FOR €2.5 MN UPFRONT
• Endurance Overseas SpA, Italy (EOSpA), a wholly-owned subsidiary, entered into a Share Purchase Agreement (SPA) • Company to sell 100% shareholding in Veicoli Srl, Italy (Veicoli), an indirect step-down subsidiary • Consideration comprises an upfront fixed payment of € 2.2 million, deferred fixed payment of € 0.3 million, and earn out consideration up to € 5.0 million • Veicoli is engaged in providing software platforms for fleet management sector • Buyer is Banyan Software UK Limited, not belonging to promoter/group companies • Transaction is a share sale, not a slump sale
