SMARTWORKS : ACQUIRES STEP-DOWN SUBSIDIARY
• Audit Committee approved proposed acquisition of WorkStudio Spaces Pte. Ltd., Singapore by Smartworks Space Pte. Ltd. • Upon completion, WorkStudio will become a step-down subsidiary. • Transaction details are attached as Annexure-A. • Meeting of the board commenced at 04:10 PM (IST) and concluded at 05:00 PM (IST). • Information will be hosted on the company website. • Acquisition expected to be completed within July, 2026, subject to approvals. • Consideration is cash. • 100% shareholding acquired through Wholly-Owned Subsidiary. • WorkStudio Spaces Pte. Ltd. incorporated in Singapore on November 20, 2024, providing flexible workspace solutions. • WorkStudio's turnover since incorporation to March 31, 2026 is ₹5.09 Cr.
