VMS TMT LIMITED : ANNOUNCES BOARD APPROVAL FOR AMALGAMATION WITH ADITYA ULTRA STEEL LIMITED

• VMS TMT Limited announces that its Board of Directors has approved the Scheme of Amalgamation for the merger of Aditya Ultra Steel Limited into VMS TMT Limited. • The proposed amalgamation is aimed at creating a larger, stronger, and more integrated steel manufacturing enterprise. • Key benefits include unified brand presence, expanded distribution network, enhanced manufacturing scale, operational & resource synergies, and a stronger financial profile. • Under the approved Scheme of Amalgamation, shareholders of Aditya Ultra Steel Limited will receive 75 equity shares of VMS TMT Limited for every 100 equity shares held. • The Scheme remains subject to approvals from SEBI, NCLT, BSE, NSE, shareholders, creditors, and other applicable statutory and regulatory authorities.
