• Update on acquisition disclosure dated June 19, 2025, September 26, 2025, December 25, 2025 and March 23, 2026 under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015. • Approves execution of Power Delivery Agreements with HR Dhauliganga Private Limited (HRDPL). • SAMIL and its subsidiaries proposed to enter into an agreement to acquire 28.15% stake in HRDPL. • HRDPL is a special purpose vehicle setup by Hinduja Renewables Energy Private Limited. • Expected closing earlier was estimated to be by Q1 FY27. • Due to ongoing completion of the conditions precedent, the transaction is now likely to be completed during Q4 FY27.
