CHAMBAL BREWERIES & DISTILLERIES LTD : AMALGAMATION SCHEME APPROVED

• The Board of Directors has approved the scheme of amalgamation between Chambal Breweries and Distilleries Limited (Transferor Company) and Invade Agro Limited (Transferee Company). • The amalgamation is subject to statutory, regulatory, shareholder, and NCLT approvals. • The scheme is expected to pool financial resources, enhance economies of scale, and create a stronger resource base. • It will also pool proprietary information, personnel, financial, and managerial resources for future growth. • Simplicity in working, reduced compliance costs, and better operational efficiencies are anticipated. • Upon effectiveness, 5 equity shares of INR 10/- each of Transferee Company will be issued for every 2 equity shares of INR 10/- each held by Transferor Company shareholders.
