• Transaction pursuant to Share Purchase Agreement dated May 19, 2026, with Inviga Healthcare Fund I and its nominee (Buyer) • Company has completed transfer of 93,577 shares of BACC, representing ~99.999% of its equity shareholding • Transfer of 1 share of BACC held by nominee is under process • Total consideration for entire shareholding is INR 37,64,44,788 (~₹376.44 Cr) • Initial consideration of INR 28,23,33,591 (~₹28.23 Cr) received on June 29, 2026 • Balance deferred consideration payable within 18 months from May 19, 2026
