GSP CROP SCIENCE LTD : AMALGAMATION APPROVED

• Board of Directors considered and approved a scheme of arrangement for amalgamation of Rajdhani Petrochemicals Private Limited (RPPL) with GSP Crop Science Limited. • The scheme involves transfer of entire assets and liabilities of RPPL and demerger of manufacturing undertaking of GIPL into GSP Crop Science. • Appointed date for the scheme is April 1, 2026. • No equity shares or other security will be allotted in lieu of holding in RPPL and GIPL as the company holds their entire share capital. • Equity shares held by GSP in RPPL will be cancelled on the effective date. • The transaction is with a wholly owned subsidiary and not considered a related party transaction attracting Section 188 of Companies Act, 2013.
