SECMARK CONSULTANCY : PROPOSED INCORPORATION OF WHOLLY OWNED SUBSIDIARY

• Board of Directors approved the incorporation of a proposed Wholly Owned Subsidiary Company on July 03, 2026. • The subsidiary, SECMARK FINANCIAL AGGREGATION PRIVATE LIMITED, will operate as an Account Aggregator and Non-Banking Financial Company. • The company will be incorporated in India with its holding company being SecMark Consultancy Limited, with a 100% holding. • The incorporation is in line with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and a SEBI Master Circular dated January 30, 2026. • The initial paid-up share capital will be ₹1,00,000, representing 10,000 equity shares of ₹10 each.
