VARUN BEVERAGES: KENYAN STEP-DOWN SUBSIDIARY ACQUIRES 100% OF DEVYANI FOOD INDUSTRIES (KENYA) LIMITED

• VBL Industries (Kenya) Limited, a wholly-owned subsidiary of Varun Beverages Limited, has entered into an agreement to acquire the business in Devyani Food Industries (Kenya) Limited. • The acquisition includes value-added dairy beverages, juices, and packaged drinking water, along with associated assets. • The purchase consideration is USD 32 million. • The transaction is expected to be completed on or before August 1, 2026. • The manufacturing facility is located on a 52-acre land parcel in Nakuru, Kenya, with a built-up area of 17,500 sq. mtr. • DFIL Kenya is a promoter group company, and the transaction is done at arm's length basis.
