BCP ASIA II TOPCO IV PTE. LTD. SEEKS EXEMPTION FROM OPEN OFFER

• BCP Asia II Topco IV Pte. Ltd. seeks exemption from open offer requirements in relation to its acquisition of shares in Aster DM Quality Care Limited (formerly Aster DM Healthcare Limited) under Regulation 10 of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. • The acquisition is pursuant to a Scheme of Amalgamation between Quality Care India Limited and Aster DM Healthcare Limited, where BCP will be classified as the promoter of Aster Quality Care. • Aster Quality Care will allot 24,49,96,597 equity shares of INR 10/- each, fully paid-up, to BCP, in accordance with the share exchange ratio prescribed under the Scheme. • The relevant exemption is under Regulation 10(1)(d)(ii) of the SAST Regulations. • No disclosure was made under regulation 10(5) of the SAST Regulations. • Pre-transaction shareholding of each acquirer/transferee was 1,39,55,977 shares, representing 2.69% of total share capital. • Post-transaction shareholding of BCP upon completion of the allotment is expected to be 25,89,52,574 shares, representing 29.71% of total share capital.
