CEAT : FURTHER INVESTMENT IN TYRESNMORE ONLINE PRIVATE LIMITED

• Company has approved an investment up to ₹274 Lakhs by way of subscription in Rights Issue of equity shares of Tyresnmore Online Private Limited ('Tyresnmore'), a wholly owned subsidiary. • The proposed investment falls under the purview of transactions with related parties under Section 177 of the Companies Act, 2013 and Regulation 23 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and the transaction is at arm's length. • Tyresnmore is a private company with a turnover of ₹4,329.13 Lakhs as on March 31, 2026, engaged in selling automotive tyres, accessories and providing ancillary automotive services. • With the proposed investment, CEAT's shareholding in Tyresnmore remains 100%. • Indicative time period for completion of allotment of 22,447 equity shares is by July 31, 2026.
