VIRINCHI : STEP-DOWN SUBSIDIARY ACQUIRES 100% OF PRIMARY AND SECONDARY HEALTHCARE BUSINESS DIVISION

• Virinchi Limited's board approved the proposal to enter into a Business Transfer Agreement (BTA) with its subsidiary, Virinchi Health Care Private Limited (VHCPL). • The acquisition is for the Primary and Secondary Healthcare Business Division operated under the "Bristlecone Hospitals" brand, including all related assets, liabilities, and contracts. • The transaction is on a slump-sale basis and is valued at Rs. 100 Crores. • VHCPL is a material subsidiary, and the transaction falls within the ambit of related party transactions, to be undertaken on an arm's length basis. • The acquisition is subject to shareholder approval and other necessary regulatory consents.
