GMR POWER & URBAN INFRA : GKSPL TO REMAIN STEP-DOWN SUBSIDIARY POST ALLOTMENT

• GMR Kalinga Solar Power Limited (GKSPL), a step-down wholly owned subsidiary of GMR Energy Limited (GEL), has been allotted equity shares to GEL and Grasim Industries Limited in the ratio of 71:29 on July 8, 2026. • This allotment resulted in GKSPL's status changing from a wholly owned subsidiary to a step-down subsidiary of GMR Power & Urban Infra Limited. • GKSPL is developing a ~10 MW captive solar power generating plant. • None of the Company's promoters, promoter group, or group companies have any interest in this transaction.
