ARVAYA HEALTHCARE : SUBSIDIARY ACQUIRES 100% EQUITY SHARES OF SUSSHODHA INSTITUTE OF GASTROENTEROLOGY PRIVATE LIMITED

• Approved acquisition of 100% equity shares (1,84,374 equity shares of ₹10/- each) of Sushodha Institute of Gastroenterology Private Limited ("SIGPL") for a total purchase consideration of ₹15,48,74,160/- • Purchase consideration to be discharged by issue and allotment of up to 38,71,854 fully paid-up equity shares of the Company at ₹40/- per equity share (including premium of ₹30/-) • Transaction is at arm's length based on valuation report. • Acquisition completion subject to shareholders' approval and other regulatory approvals. • Approved the constitution of a Rights Issue Committee for a proposed Rights Issue to raise up to ₹210 Crores. • Approved appointment of Mr. Kaushal Shah and Mr. Ranganath Abhiram as Non-Executive Directors of SMCV Management Services Private Limited. • Approved change in registered office from Assam to Maharashtra, subject to approvals.
