• Board approved acquisition of 1,00,000 equity shares of Rs. 10 each, representing 100.00% paid-up equity share capital of a proposed entity, "Neptune Maritime Private Limited" or another name approved by ROC. • Acquisition is a related party transaction as promoter group holds controlling interest in the subsidiary. • Target entity will be in the Logistics Industry and will provide freight forwarding services via sea, rail, and road. • Shares acquired at face value of Rs. 10 per share; consideration is cash/bank.
