GABRIEL INDIA : ANNOUNCES ACQUISITION OF 30% MINUS ONE EQUITY SHARE IN HL KLEMOVE INDIA PRIVATE LIMITED

• Gabriel India Limited executed the Joint Venture Agreement (JVA) and Share Purchase Agreement (SPA) on August 21, 2026. • This is in continuation of the disclosure dated July 21, 2026, regarding the proposed acquisition of 30% minus one (1) equity share in HL Klemove India Private Limited. • The consummation of purchase of Sales Shares shall take place on August 24, 2026, or such other date as may be mutually agreed. • Upon completion, the Target Company shall become an Associate Company of Gabriel India Limited.
