SYNGENE : ACQUIRES 12.44% STAKE IN AMPIN C&I POWER TWELVE PRIVATE LIMITED

• Syngene International Limited acquired renewable power through a Share Subscription and Shareholders Agreement / Power Purchase Agreement with Ampin C&I Power Twelve Private Limited. • Ampin C&I Power Twelve Private Limited, incorporated on April 23, 2025, is engaged in renewable energy generation. • Ampin's net worth as of March 31, 2026, was ₹687.70 lakhs; FY25-26 standalone turnover NIL, PAT ₹0.31 lakhs. • The acquisition is not a related party transaction and is conducted at arm's length. • Syngene invested ₹2.52 Cr for 25,20,000 equity shares at ₹10 per share, representing a 12.44% stake on an undiluted basis. • Post-investment by other entities, Syngene's stake will be a minimum of 7.93% on a fully diluted basis.
