• SEPC FZE, UAE subsidiary of SEPC Limited, to acquire 100% of Wintality Petroleum FZE. • Transaction is an in-principle approval via share swap with no cash outflow. • Wintality Petroleum FZE is engaged in import, export, and global trading of refined petroleum products. • Acquisition fully through non-cash consideration by restructuring equity and capitalisation reserves. • SEPC FZE will retain 95.75% ownership in its UAE subsidiary post-acquisition.
