HERO MOTOCORP: HERO MOTOCORP'S STEP-DOWN SUBSIDIARY ACQUIRES ADDITIONAL EQUITY SHARES OF ATHER ENERGY LIMITED

• Hero MotoCorp's Committee of Directors approved the purchase of additional equity shares of Ather Energy Limited, an associate company. • The relevant details of the acquisition are attached as Annexure A. • Ather Energy Limited (Ather) is an associate company engaged in designing, manufacturing, selling and servicing of electric two wheelers and charging infrastructure. • Ather's turnover for FY26 was ₹3,671.76 crore. • The purchase of shares does not fall within related party transactions. • Hero MotoCorp Limited's shareholding in Ather would increase to up to ~32.8% (on a fully diluted basis) post-acquisition. • Cost of acquisition is up to ₹1,758 crore (approx.). • Indicative time period for completion of the acquisition is by September 3, 2026.
