• Acquisition of 10,67,729 fully paid-up equity shares of face value of INR 10 each, representing 23.00% of the equity share capital in HKR Roadways Limited (the "Target Company"), from Kotak Special Situations Fund was completed. • The acquisition was successfully completed on 27th August, 2026. • The target company, HKR Roadways Limited, was incorporated with the business of four laning of Hyderabad - Karimnagar - Ramagundam Road (SH-1). • Total revenue of HKR Roadways Limited was Rs. 26,402.61 Lakhs in FY 2024-25. • The acquisition is in the infrastructure industry, which aligns with Gayatri Highways Limited's business. • The approval from the Roads & Buildings Department, Government of Telangana was obtained.
