• Wholly owned subsidiary Excelsoft Technologies Canada Ltd. incorporated in Canada on August 27, 2026 • The WOS is intended to facilitate the Company's business operations and support its expansion in the Canadian and North American markets • Newly incorporated WOS has common directors with the Company, including Mrs. Shruthi Sudhanva and Mr. Doreswamy Palaniswamy • Transaction reviewed and approved by Audit Committee and Board of Directors; proposed to be undertaken on an arm's length basis • Company and subsidiaries are interested in the proposed transaction/business activity • Promoters and Promoter Group interested to the extent of their shareholdings
