WAAREE ENERGIES : EXPANDS US CAPACITY BY US$37 MILLION
• Company to consolidate manufacturing facilities by relocating plant & machinery from Tumb (1.0 GW) and Nandigram (1.11 GW) to existing facility at Chikhli, Gujarat • Wholly-owned subsidiary, Waaree Solar Americas Inc., to undertake capex of US$37 million to revamp Arizona facility, increasing capacity from 1 GW to 1.6 GW • Upon completion, aggregate US manufacturing capacity to reach 4.8 GW (3.2 GW at Texas, 1.6 GW at Arizona); funded by debt and internal accruals • Appointed Ms. Mona Bhide as Additional Non-Executive Independent Director for a term of five years from August 30, 2026 to August 29, 2031, subject to shareholder approval • Ms. Richa Goyal completes her first term as Non-Executive Independent Director on August 29, 2026 • Board also decided to convene the 36th AGM on September 24, 2026 via VC/OAVM and set September 11, 2026 as the record date for final dividend for FY25-26
