• Board approves scheme of arrangement involving Lux Industries Limited, Lux and Cozi Limited, and Lux Global Limited • Scheme involves demerger of Vertical A Business Undertaking into Resulting Company 1 and Vertical C Business Undertaking into Resulting Company 2 • Vertical A Undertaking turnover ₹1,373.59 Cr (46.77% of standalone FY26), Vertical C Undertaking turnover ₹327.87 Cr (11.16% of standalone FY26) • Resulting companies (Lux and Cozi Ltd, Lux Global Ltd) to be listed on BSE and NSE post-approval • Scheme does not involve cash consideration; equity shares to be issued in 1:1 ratio • Board meeting concluded on August 31, 2026
