VERANDA LEARNING SOLUTIONS : IMPLEMENTATION OF NCLT ORDER AND SCHEME OF ARRANGEMENT

• The composite scheme of arrangement for Veranda Learning Solutions (VLS), Veranda XL Learning Solutions Private Limited (VXLS), and J.K.Shah Commerce Education Limited (JSCEL) has been sanctioned by the National Company Law Tribunal (NCLT). • The scheme becomes effective on August 31, 2026, upon filing the NCLT order with the Registrar of Companies (ROC). • Key dates include August 31, 2026, for the amalgamation of VXLS with VLS, and September 01, 2026, for the demerger of the commerce business from VLS into JSCEL. • Post-demerger, BB Publication Private Limited, Navkar Digital Institute Private Limited, and Tapasya Educational Institutions Private Limited will become subsidiaries of JSCEL. Impact: Scheme of arrangement implementation progresses with defined dates for amalgamation and demerger.
