SUDARSHAN CHEMICAL INDUSTRIES LIMITED : DIVESTS 100% STAKE IN GERMAN STEP-DOWN SUBSIDIARY VP4 FRANKFURT GMBH

• Sudarshan Chemical has entered into a Share Purchase and Transfer Agreement to sell its entire 100% stake in VP4 Frankfurt GmbH. • VP4 Frankfurt GmbH, a step-down wholly-owned subsidiary, manufactures Diketene and CKP and primarily serves Nutrinova's food additives business. • The divestment rationale is to transfer the non-core VP4 Plant to Nutrinova, a joint venture between Celanese Corporation and Mitsui & Co., which considers it strategic. • In FY26, VP4 Plant reported Revenue of EUR 15.7 Mn and EBITDA of EUR 4.1 Mn, with Q1FY27 figures at EUR 4.1 Mn and EUR 1.3 Mn respectively. • The deal value stands at EUR 76.5 Mn, with expected closure in 2-3 months.
