• Acquisition of 26% equity shares in Amplus TN One Energy Private Limited through Power Purchase Agreements and Share Subscription and Shareholders Agreement • Amplus TN One Energy Private Limited is engaged in generation and transmission of renewable energy (solar power) • Acquisition aims to meet the company's green energy needs, optimize energy costs, and comply with regulatory requirements for captive power consumption • Consideration: Equity investment of up to ₹14.06 Cr • Target entity incorporated on June 6, 2024, with nil turnover in the last three years • Amplus TN One Energy Private Limited is a special purpose vehicle for setting up 41.80 MW (AC) solar power projects
