GAYATRI HIGHWAYS LIMITED : CUBE HIGHWAYS ACQUIRES 49% STAKE IN HKR ROADWAYS LIMITED

• Gayatri Highways Limited (GHL) has announced the completion of the sale of 49% of its total paid-up equity share capital in HKR Roadways Limited (HKR). • The sale was executed pursuant to a Securities Purchase Agreement dated February 12, 2026. • The transaction was completed on September 2, 2026. • The consideration received from the sale is estimated at around INR 200 Crores, with an additional potential of INR 48 Crores subject to contingent events related to Wholesale Price Index (WPI). • The buyer is Cube Highways and Infrastructure V PTE. Limited. • The transaction does not fall within related party transactions and is conducted at arm's length.
