TML CV HOLDINGS B.V. ANNOUNCES APPROVAL OF OFFER DOCUMENT BY CONSOB

• Consob approved the offer document for the voluntary totalitarian tender offer for all common shares of Iveco Group N.V. • The acceptance period for the offer will run from September 7, 2026, to October 26, 2026, unless extended. • The offer consideration is Euro 14.10 per common share (cum dividend). • Payment date for accepted shares will be the fourth trading day following the end of the acceptance period. • The acceptance period may reopen for five trading days.
