• Company entered into a Compulsorily Convertible Debenture Subscription Agreement with Zayo Energy Private Limited (“ZEPL”) • Investment of 833 CCDs at a value of ₹60,093 each, aggregating to ₹5,00,57,469 /- • ZEPL is an associate company engaged in manufacturing solar panel components, which is in the same line of business as Fujiyama Power Systems • The transaction is proposed to be undertaken on an arm's length basis • Acquisition is expected to be completed within 60 days from the date of approval • The target entity's paid-up share capital is ₹1,00,000 and its turnover for FY 2025-26 was Nil
