COCHIN SHIPYARD LTD : WINS RS 1,800 CR ORDER FOR JV

• Cochin Shipyard Ltd. (CSL) to form a joint venture (JVCo.) with Drydocks World Dubai FZCO (DDW) • JVCo. to own, operate, and manage CSL's International Ship Repair Facility (ISRF) at Willingdon Island, Kochi • ISRF transferred to JVCo. on a slump sale basis for not less than ₹1,800 Cr; CSL receives 50% cash and 50% JVCo. shares • CSL and DDW to hold 50% stake each in JVCo.; JVCo. to have five directors (DDW to nominate three) • Joint Venture Agreement proposed to be signed on September 11, 2026 • The transaction is not considered a related party transaction as CSL and DDW are not related parties; however, the business transfer qualifies as one at arm's length basis
