DIGJAM LIMITED : SCHEME OF ARRANGEMENT UPDATE

• National Company Law Tribunal (NCLT), Chennai Bench, has passed an order dated September 2, 2026, in relation to the joint petition filed under Section 230-232 of the Companies Act, 2013. • The order is in connection with the proposed Scheme of Arrangement between Reid & Taylor International Private Limited ("Demerged Company") and Digjam Limited ("Resulting Company") and its shareholders. • The NCLT has admitted the petition and fixed October 28, 2026, as the date for the next hearing. • Order copy received from the Hon'ble Tribunal is enclosed.
