THAKKERS GROUP LTD. : PROMOTER GROUP ACQUIRES 16.58% STAKE VIA GIFT TRANSFERS

• Jitendra Manohardas Thakker to transfer 375,000 shares to Bharti Jitendra Thakker (Spouse), Gaurav Jitendra Thakker (Son), and Karishma Gaurav Thakker (Daughter-in-law). • Bharti Jitendra Thakker will acquire 112,500 shares, Gaurav Jitendra Thakker will acquire 112,500 shares, and Karishma Gaurav Thakker will acquire 37,500 shares. • The transfers are by way of gift and fall under Regulation 10(1)(a)(i) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, exempting them from open offer requirements. • The proposed acquisition date is on or after September 16, 2026. • The total shares acquired by the transferees will represent 16.58% of the total share capital of Thakkers Group Ltd.
