BHARAT FORGE : MERGER OF STEP-DOWN SUBSIDIARIES

• Bharat Forge Holding GmbH (BFH) has merged with Bharat Forge Global Holding GmbH (BFGH), effective August 25, 2026. • Both entities were wholly-owned step-down and wholly-owned subsidiaries, respectively. • BFH ceases to exist post-merger; Bharat Forge Aluminiumtechnik GmbH becomes a direct subsidiary of BFGH. • The merger simplifies the legal structure in Germany and has no implication on standalone or consolidated financials. • No cash consideration or share exchange was involved as BFH was a wholly-owned subsidiary of BFGH.
