AXISCADES : INDIA BASED SUBSIDIARY ACQUIRES 90% EQUITY SHARES OF CLOUD WAVE TECHNOLOGIES

• AXISCADES Technologies Limited executed a Share Purchase Agreement and a Shareholders' Agreement with Cloud Wave Technologies Private Limited and its sellers on September 10, 2026. • The company simultaneously completed the acquisition of 90% of the share capital of Cloud Wave, and indirectly 90% of its wholly-owned subsidiaries Protohubs and Aureate. • The purchase consideration was INR 234 crores, subject to post-closing adjustments. • Cloud Wave, Protohubs, and Aureate have become subsidiaries of AXISCADES Technologies Limited. • Protohubs and Aureate have become step-down subsidiaries. • The transaction is a strategic step in the company's growth plan towards aerospace manufacturing.
