CEIGALL INDIA: STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY OF JAM KHAMBHALIYA JAMNAGAR POWER TRANSMISSION LIMITED

• Ceigall India Limited's board approved the signing of a Share Purchase Agreement to acquire 100% of project SPV "Jam Khambhaliya Jamnagar Power Transmission Limited" ("JKJTL") • JKJTL is a wholly owned subsidiary of REC Power Development and Consultancy Limited (“REC”) • This follows a prior Letter of Intent from REC for a transmission system project • Company also approved an investment by way of subscription of 49% equity in a Joint Venture Company to be incorporated • Details of acquisition provided in Annexure - I & II
