INDIABULLS LIMITED : ACQUIRES 70% OF FINTECH CLOUD PRIVATE LIMITED

• Indiabulls Limited executed a definitive agreement to acquire 70% of the issued, subscribed and paid-up equity share capital of Fintech Cloud Private Limited • Fintech Cloud Private Limited is a Loan Service Provider (LSP) that earned Rs. 133.77 Cr gross revenue in FY2025-26 with Rs. 30.31 Cr PBT • The acquisition will enable Indiabulls to enter the fintech segment and provide technology solutions to NBFCs • Consideration will be settled through issuance of up to 21 crore fully paid-up equity shares of Indiabulls Limited • Estimated cost of acquisition at Rs. 1,050 crore, representing 70% of the Target Company's equity value • Indicative time period for completion is 9-12 months
