KESORAM INDUSTRIES: CYGNET INDUSTRIES LTD. APPOINTS NEW DIRECTORS; CHANGE IN CONTROL CONFIRMED

• Pursuant to a Share Purchase Agreement dated December 04, 2025 with Frontier Warehousing Limited, there is a change in control/management of Cygnet Industries Limited ("Cygnet"), a wholly owned subsidiary of Kesoram Industries Limited. • The Board of Directors of Cygnet Industries Limited approved the appointment of Mr. Gautam Agarwalla and Mr. Amit Agarwalla as Non-Executive Non-independent Directors. • Mr. Achintya Pal was appointed as Whole-time Director of Cygnet Industries Limited. • The Board also noted the appointment of Non-Executive Independent Directors: Mr. Rishi Bajoria, Mr. Goutam Banerjee & Mrs. Charu Rajgharia. • Mrs. Nikita Rateria was appointed Company Secretary, and Mrs. Snehaa Shaw resigned as Company Secretary. • Resignation of Non-Executive Independent Directors: Mrs. Sarat Priya Patjoshi, Mr. Kashi Prasad Khandelwal, and Mr. Satish Narain Jajoo were noted. • The change in control/management of Cygnet does not result in any change in the shareholding of Kesoram Industries Limited in Cygnet. • Meeting commenced at 1:00 p.m. and concluded at 1:30 p.m.
