CUBE HIGHWAYS : STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY OF APCO CHETAK

• Investment Manager (on behalf of Cube Highways Trust) entered into a Binding Offer with M/s Apco Infratech Private Limited and M/s Chetak Enterprises Limited. • The deal is to acquire 100% of the equity share capital of M/s Apco Chetak Ultraway Private Limited and M/s Apco Chetak Expressway Private Limited. • The proposed acquisition is expected to strengthen Cube InvIT's revenue base and further enhance the yield and Net Asset Value (NAV). • The consideration is cash, with the total amount subject to adjustments and to be disclosed upon execution of definitive agreements. • The target entities are located in Uttar Pradesh and belong to the Road Infrastructure Industry. • The acquisition is expected to be completed subject to satisfaction of conditions precedent and receipt of requisite approvals.
