• Board of directors approved in principle the sale, transfer, assignment and/or conveyance of Hotel Novotel Imagicaa. • Proposed transaction is on a slump sale basis to Juniper Hotels Limited for a lumpsum consideration of ~₹248 Cr • The transaction is subject to fulfillment of completion terms, shareholder approval, and execution of definitive documents. • The consideration is Rs. 2,480 Cr, subject to tax deduction at source and other adjustments. • Juniper Hotels Limited is not a related party; the transaction is at arm's length. • Estimated completion date on or before March 31, 2027.
