ZODIAC ENERGY LIMITED : ACQUIRES 98% STAKE IN 8 LLPS

• Zodiac Energy Limited has acquired a majority stake of 98% ownership interest in 8 Limited Liability Partnerships (LLPs) through direct capital contribution. • The LLPs acquired are Girdhari Solar Projects LLP, Parvati Solar Projects LLP, Indranuj Solar Projects LLP, Ridhika Solar Projects LLP, Maatangi Solar Projects LLP, Krishnapriya Solar Projects LLP, Narayani Solar Projects LLP, and Sumitra Solar Projects LLP. • Each LLP acquisition was for a consideration of ₹19,600, representing 98% of the total capital of ₹20,000. • The LLPs are engaged in setting up solar power plants, producing electricity through solar energy, and selling solar power. • All 8 LLPs have become subsidiaries of Zodiac Energy Limited with effect from September 16, 2026. • The transactions were undertaken on an arm's length basis and in accordance with applicable laws.
