ABFRL: INDIA STEP-DOWN SUBSIDIARY ACQUIRES 100% SHARES OF IMPERIAL ONLINE SERVICES

• Aditya Birla Digital Fashion Ventures Limited acquired an additional 15.62% equity stake in its subsidiary, Imperial Online Services Private Limited. • Imperial is now a wholly owned subsidiary of Aditya Birla Digital Fashion Ventures Limited and a step-down wholly owned subsidiary of ABFRL. • Imperial's paid-up equity share capital is ₹1.30 Cr and its turnover for FY26 was ₹119.38 Cr. • The acquisition is in accordance with the Share Subscription and Shareholders' Agreement dated July 11, 2022.
