• Board of Directors approved rationalisation and consolidation of the company's step-down subsidiaries in the Philippines. • The move is aimed at simplifying the existing structure, improving operational, administrative and cost efficiencies, and strengthening management and governance oversight. • The transaction is an internal reorganisation and does not involve any third-party investor or change in ultimate economic interest or control. • It will be accounted for as a common-control transaction. • No specific benefit to the promoter or promoter group is envisaged. • No change in shareholding pattern of the Company or ultimate ownership of Philippine business.
